General Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to all business relationships between SB-Elektronik GmbH & Co. KG, Schömberger Straße 67–69, 72336 Balingen (hereinafter "SB-Elektronik") and its customers.

2. Offers and Contract Formation

Our offers are non-binding. A contract is only concluded upon our written order confirmation or execution of the service.

3. Scope of Services

The scope of services is defined by the respective order confirmation or project contract. Changes and extensions require written agreement.

4. Prices and Payment Terms

All prices are exclusive of statutory VAT. Invoices are payable within 30 days of the invoice date without deduction, unless otherwise agreed.

5. Delivery and Performance

Delivery dates and performance deadlines are only binding if expressly confirmed in writing by SB-Elektronik. Partial deliveries are permitted.

6. Warranty

The warranty period is 12 months from delivery or acceptance, unless otherwise agreed. Warranty claims require that the customer has properly fulfilled their obligation to inspect and report defects.

7. Liability

SB-Elektronik is liable without limitation for intent and gross negligence. For slight negligence, SB-Elektronik is only liable for breach of essential contractual obligations, limited to foreseeable, contract-typical damage.

8. Intellectual Property

All designs, drawings, software, and technical documents created by SB-Elektronik remain the intellectual property of SB-Elektronik and may not be shared with third parties without written consent.

9. Confidentiality

Both parties undertake to keep confidential all confidential information obtained in the course of the business relationship and to use it only for the agreed purpose.

10. Applicable Law and Jurisdiction

German law applies. The place of jurisdiction for all disputes is Balingen, provided the customer is a merchant.
